Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the KINNECT mobile application ("App") provided by KINNECTO, Inc. ("we," "us," or "our"). By accessing or using our App, you agree to be bound by these Terms and our Privacy Policy. If you disagree with these Terms, you must not use our App.

Use of the App

  • Eligibility: You must be at least 13 years old to use the App. By agreeing to these Terms, you represent and warrant that you are of legal age to form a binding contract with us.
  • License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes.
  • Restrictions: You may not use the App for any illegal or unauthorized purpose. You agree to comply with all laws, rules, and regulations applicable to your use of the App.

Accounts

  • Account Creation: To access certain features of the App, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update it to keep it accurate and complete.
  • Account Responsibility: You are responsible for safeguarding your account password and any activities or actions under your account. You should notify us immediately upon becoming aware of any security breach or unauthorized use of your account.

Content

  • User Content: The App may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). You are solely responsible for the User Content you post on or through the App, including its legality, reliability, and appropriateness.
  • Rights in User Content: By posting User Content on or through the App, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

Intellectual Property

The App and its original content (excluding User Content), features, and functionality are the exclusive property of KINNECT and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of KINNECT.

Subscription and Payments

  • Plans and Pricing:
    • Free Plan: Users can engage with invited groups and share content but cannot record or create their own content. Users may join a group but cannot create one.
    • Individual Plan: Priced at $70 per year. Users can create and join kin groups, engage with invited groups' content, and create their own content. This plan is for one person.
    • Family Plan: Priced at $120 per year, available via the Apple Store. This plan supports up to five individual accounts under the Apple Family Sharing plan, where each member gets their own individual account features.
  • Subscription Terms: Payments will be charged to your Apple ID account at the confirmation of purchase. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. The account will be charged for renewal within 24 hours prior to the end of the current period.
  • Cancellation: You can manage and cancel your subscriptions by going to your account settings on the App Store after purchase.
  • Free Trials: From time to time, we may offer free trials for our subscriptions. If you decide to subscribe before the end of the trial period, the remainder of the trial period will be forfeited upon purchase.

Termination

We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Limitation of Liability

In no event will KINNECT, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the App; (ii) any conduct or content of any third party on the App; (iii) any content obtained from the App; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.

Dispute Resolution

We strongly encourage you to contact us first to seek a resolution for any dispute. If not resolved, disputes shall be submitted to confidential arbitration under the prevailing rules of the [Applicable Arbitration Association].

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion.

End-User License Agreement (EULA) of KINNECT

IMPORTANT NOTICE: PLEASE READ CAREFULLY BEFORE USING THIS APPLICATION:

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and KINNECTO, Inc. ("KINNECT", "we", "us", or "our") for the KINNECT mobile application software, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation (collectively, the "App").

By downloading, browsing, accessing, or using this App, you agree to be bound by this EULA and our Privacy Policy. If you do not agree to this EULA and the Privacy Policy, do not use this App.

1. LICENSE

1.1 KINNECT grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the App solely for your personal, non-commercial purposes, strictly in accordance with the terms of this EULA.

2. RESTRICTIONS

2.1 You agree not to, and you will not permit others to:

a. License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the App or make the App available to any third party.

b. Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the App.

c. Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of KINNECT or its affiliates, partners, suppliers, or licensors of the App.

3. SUBSCRIPTION AND PAYMENT

3.1 Plans and Pricing:

5. USER OBLIGATIONS

5.1 You agree to use the App in a manner consistent with any and all applicable laws and regulations.

5.2 You agree not to upload, post, e-mail, or otherwise send or transmit any material that contains viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment associated with the App.

6. TERM AND TERMINATION

6.1 This EULA shall remain in effect until terminated by you or KINNECT.

6.2 KINNECT may, in its sole discretion, at any time and for any or no reason, suspend or terminate this EULA with or without prior notice.

6.3 This EULA will terminate immediately, without prior notice from KINNECT, in the event that you fail to comply with any provision of this EULA. You may also terminate this EULA by deleting the App and all copies thereof from your mobile device or from your desktop.

6.4 Upon termination of this EULA, you shall cease all use of the App and delete all copies of the App from your mobile device or from your desktop.

7. SEVERABILITY

If any provision of this EULA is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

8. AMENDMENTS TO THIS EULA

KINNECT reserves the right, at its sole discretion, to modify or replace this EULA at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

10. EXTERNAL SERVICES

The App may enable access to KINNECT's and third-party services and websites (collectively and individually, "External Services"). You agree to use the External Services at your own risk. KINNECT does not endorse any External Services or the content thereof.

11. GOVERNING LAW

This EULA will be governed by and interpreted in accordance with the laws of the State of [Your State], excluding its conflict of law principles.

12. DISPUTE RESOLUTION

Disputes arising under this EULA shall be resolved by binding arbitration, in accordance with the prevailing rules of the [Applicable Arbitration Association].
